Energy & Infrastructure

Our firm advises on energy and infrastructure projects from site identification and contracting through to commercial operation: solar and agro-voltaic facilities, energy storage, power plants, data centers and other infrastructure facilities. We represent energy companies and developers as well as kibbutzim, moshavim and landowners, and we are closely familiar with the perspective and the constraints of each party to the transaction.

These transactions take place in a fast-changing regulatory environment: the government's renewable energy targets, the opening of the electricity sector to competition and the frequent updates issued by the Electricity Authority, the Israel Land Authority and the planning institutions create opportunities, and with them uncertainty. A significant share of the projects are built on agricultural land held by cooperative societies, and advancing them therefore requires a combination of four fields of knowledge: electricity regulation, real estate law and the decisions of the Israel Land Council, planning and construction law, and cooperative societies law. This combination, within one firm, allows us to provide holistic advice that sees the project in all its aspects.

Areas of Service

Land and partnership transactions - option, lease and license agreements, founders' agreements and joint ventures between a developer and a community, and the establishment of partnerships and project companies.

Project agreements - engineering, procurement and construction (EPC) agreements, operation and maintenance (O&M) agreements, power purchase agreements (PPA) and electricity supply agreements.

Regulation and licensing - representation before the Israel Land Authority, the Electricity Authority, the Israel Electric Corporation and the Ministry of Agriculture, including land-rights confirmations and transactions under the decisions of the Israel Land Council, grid connection and tariff arrangements.

Planning and construction - advice and legal opinions in planning and construction proceedings, filing objections and submissions and handling the hearings on them, and representation before the planning institutions.

Tenders and competitive processes - advising bidders and tendering bodies in energy and infrastructure tenders, and running developer-selection processes for communities and public bodies.

Acquisitions and due diligence - the purchase and sale of projects and project portfolios, and legal, land and planning due diligence.

Cooperative societies - general assembly and management committee resolutions, internal arrangements between the society and its members, and aligning the transaction with the society's bylaws and the restrictions that apply to it.

Projects in Judea and Samaria - experience in advising on and advancing energy projects on land in the area, in accordance with the law and the specific planning and land arrangements that apply there.
